Attendance to Shareholders’ Meeting in Spain by electronic means

Article 182 of the Spanish Corporations Act regulates shareholders’ meetings and permits attendance by electronic means. Currently, only Public Limited Companies (P.L.C.) are able to use this method to establish attendance at shareholders’ meetings.

To hold or attend shareholders’ meetings by electronic means, a company’s bylaws must authorize it.

Attendance in this way must guarantee the identity of the individual appearing electronically.

To ensure a correctly executed shareholders’ meeting, the notice of the general meeting must provide for attendance at the shareholders’ meeting by these electronic means.
